These terms govern your use of shoafsystems.com and any services provided by Shoaf Systems. By engaging our services, you agree to these terms.
Services
Shoaf Systems provides:
- AI agent setup and automation (AI receptionists, workflows, integrations)
- Web services consulting and development
- Ongoing support and maintenance as agreed per project
Specific deliverables, timelines, and scope are defined per project in a separate agreement or proposal.
Payment
Payment terms are established per project scope and outlined in your proposal or agreement. Unless otherwise specified, invoices are due upon receipt. Late payments may delay work. We reserve the right to pause services on significantly overdue accounts.
Intellectual Property
Upon receipt of full payment for a project, the client owns all custom deliverables created specifically for them — code, designs, content, configurations. Shoaf Systems retains ownership of any pre-existing tools, frameworks, or proprietary methods used in delivery.
Client Responsibilities
To deliver great work, we need your help. You agree to:
- Provide accurate information and timely feedback
- Grant necessary access to systems and tools as needed
- Use our services lawfully and not for harmful purposes
Limitation of Liability
Shoaf Systems is not liable for indirect, incidental, or consequential damages arising from use of our services. Our total liability for any claim is limited to the amount you paid us in the 30 days preceding the claim. We make reasonable efforts to deliver quality work, but cannot guarantee specific business outcomes (revenue, leads, etc.).
No Warranty
Services are provided "as is." While we stand behind our work and will make reasonable efforts to fix issues, we do not provide any implied warranties beyond what is explicitly agreed upon in writing.
Termination
Either party may terminate an engagement with reasonable notice. Work completed up to termination is billable. Prepaid services are non-refundable unless otherwise agreed.
Governing Law
These terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas.
Changes to These Terms
We may update these terms from time to time. Material changes will be reflected with an updated date above. Continued use of our services after changes constitutes acceptance.
